Of the two I prefer this one. Fog really gives a mood to it.

Here I like the opening to the sky showing through the tree tops but really as Chris said it is the fog combined with the sun rays standing out against the darkened background trees which serve to bring a moody feel to the image.

Are not the highlights all along the bottom blown as is the sky at the top? You might try using a smaller f-stop for better dof in your landscapes and less exposure. The bright patch of sky at the top is a detraction from your subject. Looks like a great location to get some good comps.

Is this fog or backlit, fine mist spray from the waterfall? This is an extremely high
contrast scene. I don't know the reason for the somewhat wide aperture of f5 coupled
with an ND filter when small apertures are the norm (usually, not always) for deep
landscapes. I think the sky is OK. There's not much of it and it's broken up by
branches. It's also the source of the backlight coming through the opening in the trees.

Jeff its fine mist from the horseshoe waterfall there, I'm not really
sure why the aperture is so wide as most of the photos taken on the day
where at f22 or higher. There are 4 waterfalls in the space of a mile
and for a budding photographer just a perfect place to cut your teeth
on..

The other is also nice, but this sure is my preferred. All to like, even more over the black background.
